These Terms of Service (the “Terms”) govern your use of the Box Raise website, platform, and any related services (collectively, the “Services”). By creating an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, discontinue use of our Services.

1. Introduction & Scope

1. Purpose
   Box Raise provides an online environment where fundraising campaigns can be created by organizations, with donors contributing in exchange for discount offers provided by local merchants.

2. Acceptance
   By using the Services, you confirm that you have read, understood, and consent to these Terms in their entirety. These Terms apply to all users of the Services, whether you are a visitor, donor, merchant, campaign manager, or any other party involved in fundraising activities.

3. Modifications
   Box Raise may modify these Terms from time to time. If changes occur, you will be notified via email or through a prominent notice on the Services. Your continued use of the Services after modifications are posted will constitute your acceptance of the revised Terms.

2. Definitions

2.1 Roles

1. Box Raise Managers
   Administrators of the platform who oversee campaigns, support organizations, and ensure stable platform operations.
2. Local Merchants
   Businesses that partner with Box Raise to provide discount offers and coupon codes in support of fundraising campaigns.
3. Organizations
   Schools, sports teams, nonprofits, or other groups that create fundraising campaigns using the Box Raise platform.
4. Campaign Managers
   Individuals responsible for setting up and overseeing a specific fundraising campaign on behalf of an organization.
5. Team Leaders
   Coaches, teachers, or designated leaders within a campaign who coordinate efforts for their team.
6. Campaign Participants
   Individuals actively raising funds within a campaign, such as students, athletes, or group members.
7. Donors
   Supporters who contribute money to a fundraising campaign, often receiving merchant discount offers as incentives.

2.2 Other Terminology

1. Campaign
   A fundraising initiative created by an organization that uses the Box Raise platform for collecting donations in exchange for merchant discount offers.
2. Donation
   A financial contribution made by a donor to support a campaign, possibly accompanied by a discount offer as an incentive.
3. Merchant Offer
   A discount or deal provided by a local business to donors in recognition of their contributions.
4. Discount Card
   A digital or physical card containing a set of merchant offers that donors receive when they contribute.
5. Merchant Offer Code
   A unique coupon code from a local merchant that donors can redeem for discounts at participating businesses.
6. Proceeds
   The funds raised from donations, often shared between the organization and Box Raise (and, in certain cases, merchants).
7. Processing Fees
   Transaction costs related to donations, payments, and maintaining the platform.
8. Campaign Notifications
   Alerts and messages sent via the Box Raise platform to inform campaign managers, participants, and donors of fundraising progress.
9. Campaign Duration
   The designated timespan of a fundraising campaign. Typically runs for several weeks.
10. Campaign Start Date
    The official date on which the fundraising campaign begins.
11. Campaign Expiration
    The date when the fundraising campaign concludes, after which no further donations are accepted.
12. Fundraising Goal
    The target amount set by an organization for a campaign.
13. Reward Store
    A feature where participants can exchange points (Box Raise Bucks) earned through fundraising efforts for prizes.
14. Box Raise Bucks
    A points-based system rewarding participants for successful fundraising, redeemable in the Reward Store.
15. Leaderboard
    A ranking system within campaigns that tracks top fundraisers or teams based on donation amounts.
16. Peer-to-Peer Fundraising
    A strategy where individuals gather donations on behalf of a larger campaign.
17. Organization Dashboard
    A centralized management panel for organizations to oversee campaigns, donations, and participant performance.
18. Merchant Dashboard
    A panel for local merchants to track offer redemptions, manage campaigns, and update discount offers.

3. Eligibility & Account Creation

1. Age Requirement
   You must be at least 18 years old to create an account on the Services. If you are under 18, parental or guardian consent is required.
2. Account Information
   You agree to provide current, accurate, and complete information during registration and to update such information if it changes.
3. Security & Responsibility
   You are responsible for all activities occurring under your account. Keep your login details confidential and safeguard against unauthorized use.

4. Use of the Services

1. Platform Access
   The Services enable organizations to create campaigns, donors to contribute, and merchants to offer discounts.
2. Prohibited Activities
   Users are expected to refrain from posting unlawful, misleading, defamatory, or otherwise objectionable content. Attempts to gain unauthorized access to the Services or other users’ accounts are strictly prohibited.
3. Compliance
   Users must comply with all applicable laws, regulations, and guidelines when using the Services.

5. Fundraising Campaigns

1. Campaign Creation
   Campaign Managers create and manage campaigns. Ensure the details of the campaign (purpose, fundraising goal, and duration) are accurate.
2. Campaign Management
   • Team Leaders coordinate participant efforts and maintain motivation.
   • Campaign Participants gather donations using the peer-to-peer approach.
   • Organization Dashboard provides tools to track donations, progress, and performance.
3. Campaign Duration & Expiration
   Campaigns run until the established expiration date. After expiration, no further donations are accepted through the platform.

6. Donations & Payments

1. Payment Processing
   Donations are processed securely through third-party payment processors. Processing fees may apply.
2. Distribution of Proceeds
   Proceeds are distributed according to the campaign’s specifications. A portion covers Box Raise operational costs, while the remainder goes to the organization (and, in certain scenarios, a portion goes to merchants).
3. No Refunds
   All donations are considered final. Issues relating to donations, discount offers, or redemption should be addressed with campaign organizers and Box Raise Managers where necessary.

7. Merchant Offers & Discounts

1. Local Merchants
   Merchants partner with Box Raise to provide discount offers. These offers may be delivered through a Discount Card or unique Merchant Offer Codes.
2. Redemption
   Donors who receive discount offers can redeem them according to the individual merchant’s terms and conditions.
3. Merchant Dashboard
   Merchants may use this interface to update offers and track redemption activity.

8. Intellectual Property

1. Platform Ownership
   Box Raise and its licensors own all rights to the Services, including trademarks, logos, features, and content (excluding user-generated materials).
2. User-Generated Content
   Users retain rights to any content they create or upload. By posting on the platform, you grant Box Raise a worldwide, non-exclusive, royalty-free license to use your content for operational and promotional purposes.

9. Privacy & Data Protection

1. Personal Information
   Our Privacy Policy governs the collection and use of personal information.
2. Data Security
   We maintain measures to protect user data. However, no system is free from risks, and you acknowledge that you provide information at your discretion.

10. Disclaimers

1. Service Availability
   Box Raise makes efforts to keep the Services operational. However, we do not guarantee uninterrupted access and are not liable for downtime or technical issues.
2. Third-Party Content
   The platform may include links or references to third-party websites or services. Box Raise does not endorse or assume responsibility for third-party content or actions.

11. Limitation of Liability

1. Indirect Damages
   Box Raise is not liable for indirect, incidental, special, consequential, or exemplary damages.
2. Aggregate Liability
   The total liability of Box Raise for claims related to the use of the Services will not exceed the amount paid (if any) for accessing or using the Services in the three (3) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Box Raise, its affiliates, and their respective officers, employees, and agents from any claims, damages, losses, and expenses (including legal fees) arising out of or related to your breach of these Terms or misuse of the Services.

13. Account Suspension & Termination

   We may suspend or terminate user accounts if there is a violation of these Terms or if such action is necessary to protect the platform and its users.
2. Effect of Termination
   Upon termination, you lose access to the Services. Certain provisions of these Terms that by their nature should survive will remain in effect.

14. Governing Law & Dispute Resolution

1. Governing Law
   These Terms and any related disputes are subject to the laws applicable in your jurisdiction, without regard to conflict of laws principles.
2. Dispute Resolution
   Any disputes arising from these Terms or the Services may be resolved through arbitration or other mutually agreed dispute resolution methods, consistent with local legal requirements.
